1. Provider

This website is operated by:

Aurelis Clavis
Sole proprietor:Â Adwoa Theresa Adu-Sanyah
c/o Postflex #7630

Further provider information is available in the Impressum / Legal Notice.

2. Scope of These Terms

These Terms govern:

-
access to and use of the Aurelis Clavis website;
-
use of the Request Consideration form;
-
submission of business information and documents;
-
and communications relating to the initial consideration of a possible Aurelis Clavis project.
Â
These Terms do not constitute the complete contractual conditions for a paid Aurelis Clavis project.
Any accepted project is governed by a separate written engagement agreement defining the project scope, fee, payment terms, responsibilities, delivery conditions, intellectual-property arrangements and other project-specific provisions.
Where an individually agreed written engagement agreement conflicts with these Terms, the individually agreed provision takes priority for that project.

3. Business Users Only

The website and Request Consideration process are intended exclusively for established businesses and persons acting on behalf of a business, trade, craft, profession or other commercial undertaking.

They are not intended for individuals acting primarily for private or personal purposes.

By submitting an application, you confirm that:

-
you are acting for commercial or professional purposes;
-
you are authorised to provide the submitted information;
-
and, where you act for another person or organisation, you have authority to represent that business during the application process.
Â
Aurelis Clavis may decline or discontinue an application where these conditions are not met.
Â
4. Nature of Aurelis Clavis

Aurelis Clavis is a private systems studio.

It develops tailored commercial, positioning, market-facing, digital and application architectures for selected established businesses preparing a defined product or collection for a European-facing direction.

Aurelis Clavis is not:

-
a law firm;
-
a tax-advisory practice;
-
a customs representative;
-
a certification body;
-
a laboratory;
-
a regulatory authority;
-
an export agent;
-
a financial adviser;
-
or a provider of regulated professional services.
Â
The precise nature and limits of any paid project are defined only in the relevant written engagement agreement.

5. Website Information

The website provides general information about Aurelis Clavis, its current focus, its working principles and the types of project that may be considered.

Website content is not:

-
an individual commercial recommendation;
-
legal, tax, customs, regulatory or financial advice;
-
a binding project proposal;
-
a guarantee that a business or product is suitable for a European market;
-
or confirmation that Aurelis Clavis will accept a particular application.
Â
No visitor should make a material commercial, legal, regulatory, financial or operational decision solely on the basis of general website content.

6. Accuracy and Availability of Website Content

Aurelis Clavis seeks to present its current focus and working principles accurately and clearly.

Website content may nevertheless be:

-
amended;
-
clarified;
-
expanded;
-
reduced;
-
replaced;
-
or withdrawn.
Â
Information may become outdated as markets, technologies, platform conditions or legal requirements change.
Aurelis Clavis does not guarantee that every page will remain continuously available, free from technical interruption or suitable for every device or browser.
Â
Temporary interruption may occur because of:

-
maintenance;
-
security measures;
-
technical failure;
-
hosting-provider changes;
-
platform updates;
-
or circumstances outside the reasonable control of Aurelis Clavis.
Â
7. Request Consideration Process

The Request Consideration form allows an established business to provide preliminary information for private review.

An application may include information concerning:

-
the applicant and their role;
-
the business;
-
the selected product or collection;
-
current markets and commercial channels;
-
the intended European-facing direction;
-
operational readiness;
-
available materials;
-
preferred timeframe;
-
and the objective for which a tailored system is being considered.
Â
Aurelis Clavis may assess:

-
strategic fit;
-
product maturity;
-
clarity of the intended objective;
-
operational substance;
-
access to reliable product information;
-
capacity for considered implementation;
-
and alignment with the current Aurelis Clavis focus.
Â
Submission of an application does not guarantee acceptance, a response, a proposal or the availability of a project period.
Â
8. No Contract Through the Website
Â
Visiting the website, submitting an application, uploading documents or receiving an initial response does not create a paid service contract.
Â
The website does not provide an automatic purchasing or commissioning process.
Â
A binding project is created only when:

-
Aurelis Clavis has completed its private consideration;
-
a separate written engagement agreement has been issued;
-
the scope and commercial conditions have been defined;
-
and both parties have accepted the agreement in the manner stated within it.
Â
An initial discussion, email, application response, indicative scope, preliminary timetable or fee indication is not binding unless it is expressly identified as a binding contractual offer.

Neither party is required to proceed before the separate engagement agreement has been concluded.
Â
9. Acceptance and Refusal of Applications

Aurelis Clavis retains discretion regarding which projects it considers and accepts.
Â
An application may be declined where, for example:

-
the business is not sufficiently established;
-
the product falls outside the current focus;
-
the proposed objective is unclear;
-
reliable product or production information is unavailable;
-
the timeframe is unsuitable;
-
the business lacks sufficient implementation capacity;
-
specialist regulated services would form the principal requirement;
-
the application contains misleading, incomplete or unauthorised information;
-
or the proposed project does not align with the Aurelis Clavis working model.
Â
Aurelis Clavis is not required to disclose confidential internal assessment methods or provide a detailed explanation for every decision not to proceed.
Â
A refusal does not constitute a judgment regarding the general quality, value or commercial potential of the applicant or business.
Â
10. Accuracy of Submitted Information
Â
Applicants must provide information that is accurate to the best of their knowledge.
Â
Applicants must not knowingly provide:

-
false or misleading statements;
-
materially incomplete information;
-
fabricated production or commercial data;
-
unauthorised third-party information;
-
false claims concerning ownership, provenance, materials or capacity;
-
or documents that have been altered in a deceptive manner.
Â
Aurelis Clavis may rely on information provided by the applicant when assessing fit or preparing a proposed scope.
Â
The applicant remains responsible for verifying the accuracy, completeness and lawfulness of information supplied by the applicant, its employees, contractors, suppliers or representatives.
Â
11. Submitted Documents and Materials
Â
Applicants may be invited to upload materials relevant to the proposed objective.
Â
These may include:
-
product catalogues;
-
collection information;
-
company presentations;
-
product specifications;
-
material information;
-
production information;
-
photographs;
-
pricing structures;
-
existing research;
-
and buyer-facing materials.
Â
Applicants must submit only materials that they are lawfully entitled to disclose.
Â
By submitting materials, the applicant confirms that:

-
the applicant owns the material or has sufficient authority to provide it;
-
its review by Aurelis Clavis does not infringe third-party rights;
-
its disclosure does not violate contractual or confidentiality obligations;
-
and any personal data contained within it has been lawfully disclosed.
Â
Ownership of submitted materials remains with the applicant or the relevant rights holder.
Â
The applicant grants Aurelis Clavis a limited, non-exclusive right to access, store, review and internally process the submitted materials solely for:
-
application assessment;
-
communication with the applicant;
-
proposed-scope preparation;
-
security and recordkeeping;
-
and, where a project is accepted, preparation for the separate engagement agreement.
Â
This limited permission does not authorise public use, publication, resale or unrelated commercial exploitation of the applicant’s materials.
Â
12. Sensitive and Confidential Information

Applications are reviewed privately and are handled in accordance with the Aurelis Clavis Privacy Policy.
Â
However, submitting an application does not automatically create a contractual non-disclosure agreement.
Â
Applicants should not submit highly sensitive information during the initial application stage, including:

-
trade secrets that are unnecessary for preliminary review;
-
passwords or access credentials;
-
banking credentials;
-
payment-card information;
-
private identity documents;
-
confidential information belonging to customers or employees;
-
unreleased technical formulas;
-
or information that the applicant is contractually prohibited from sharing.
Â
Where exceptionally sensitive information is necessary before a project can be properly considered, a separate written confidentiality agreement may be arranged before that information is provided.
Â
13. Third-Party Personal Data

Applicants should avoid including unnecessary personal data concerning employees, customers, suppliers, artisans, contractors or other individuals.
Â
Where third-party personal data is submitted, the applicant confirms that:

-
the information is relevant to the application;
-
its disclosure is lawful;
-
the applicant is authorised to provide it;
-
and any required information or notice has been given to the affected individual.
Â
Aurelis Clavis may request redaction or deletion of unnecessary third-party information.

Personal-data processing is governed by the Aurelis Clavis Privacy Policy.

14. Intellectual Property of the Website
Â
The website and its original content may include protected:

-
written content;
-
brand language;
-
graphics;
-
visual arrangements;
-
logos;
-
symbols;
-
photographs;
-
illustrations;
-
system descriptions;
-
page structures;
-
and other creative or commercial materials.
Â
Unless expressly stated otherwise, these materials belong to Aurelis Clavis or are used under an appropriate licence.
Â
Website access does not transfer ownership or grant a licence to reproduce, publish, distribute, sell, adapt or commercially exploit these materials.
Â
Visitors may view the website for legitimate informational and application purposes.
Â
Without prior written permission, visitors must not:

-
reproduce substantial website content;
-
publish or distribute copies;
-
use the Aurelis Clavis name, logo or Tiny Sunbird identity;
-
present Aurelis Clavis structures or language as their own;
-
create confusingly similar commercial materials;
-
remove rights notices;
-
or use website content to develop competing templates, systems or commercial offers.
Â
Rights expressly permitted by mandatory law remain unaffected.

15. Project Intellectual Property

No website provision transfers rights in a future Aurelis Clavis system or project deliverable.
Â
Any rights concerning:

-
client-specific deliverables;
-
internal business use;
-
reproduction;
-
modification;
-
sharing within the client organisation;
-
publication;
-
resale;
-
sublicensing;
-
source materials;
-
underlying methods;
-
reusable frameworks;
-
research structures;
-
templates;
-
and pre-existing intellectual property
Â
are governed exclusively by the separate engagement agreement for the accepted project.

Unless a separate engagement agreement expressly states otherwise, no visitor or applicant receives any right to use Aurelis Clavis methodologies, frameworks, templates or system architecture merely by accessing the website or participating in the application process.
Â
16. Prohibited Use

The website and application process must not be used to:

-
submit unlawful, fraudulent or deceptive information;
-
impersonate another person or business;
-
infringe intellectual-property, privacy or confidentiality rights;
-
transmit malicious code or harmful files;
-
interfere with website security or operation;
-
attempt unauthorised access to accounts, systems or data;
-
overwhelm forms through automated submissions;
-
scrape or systematically extract protected content;
-
reverse engineer restricted website functions;
-
distribute spam;
-
submit abusive, threatening or discriminatory material;
-
or use Aurelis Clavis content in a misleading commercial context.
Â
Aurelis Clavis may restrict access, block submissions, preserve relevant evidence and take appropriate legal or technical measures in response to suspected misuse.

17. Artificial Intelligence and Advanced Technology

Aurelis Clavis may use advanced technology, including artificial intelligence, to support research depth, information organisation, comparison and internal working processes.

Final relevance, interpretation, architecture and direction remain subject to human judgment.
Â
The use of technology does not mean that:

-
an applicant’s project is produced through a single automated prompt;
-
unverified automated output is delivered as professional fact;
-
or the client is relieved of responsibility for its own decisions, implementation and specialist verification.
Â
Details of the working process for an accepted project may be addressed in the separate engagement agreement.

18. External Professional Services

An Aurelis Clavis system may identify a point at which separate input from an appropriately qualified professional could become relevant.

This may include input from:

-
a lawyer;
-
tax adviser;
-
customs professional;
-
laboratory;
-
certification provider;
-
technical specialist;
-
or another regulated provider.
Â
Aurelis Clavis does not appoint such professionals on behalf of a website visitor merely by identifying their possible relevance.

The client remains responsible for:

-
selecting the provider;
-
verifying qualifications;
-
agreeing the provider’s terms;
-
assessing the provider’s advice;
-
and paying any external fees.
Â
Unless expressly agreed otherwise in writing, external providers act independently and are not agents, employees or subcontractors of Aurelis Clavis.
Â
Aurelis Clavis does not receive undisclosed referral income from external professional appointments.

19. No Guaranteed Outcome

Aurelis Clavis develops research-informed architecture intended to strengthen the practical conditions surrounding a defined commercial objective.
Â
Aurelis Clavis does not guarantee:

-
entry into a European market;
-
commercial acceptance;
-
customer or buyer interest;
-
distribution;
-
regulatory approval;
-
certification;
-
sales;
-
revenue;
-
profit;
-
investment;
-
brand recognition;
-
or another predetermined result.
Â
Commercial outcomes may be affected by factors including:

-
implementation quality;
-
internal decisions;
-
product quality;
-
production consistency;
-
available resources;
-
pricing;
-
timing;
-
third-party conduct;
-
customer response;
-
legal and regulatory requirements;
-
and changing market conditions.
Â
The applicant and any future client retain responsibility for their own commercial decisions and implementation.

20. External Websites and Services

The website may contain links to external websites, platforms or service providers.

External services operate under their own terms, privacy policies and security practices.
Â
A link does not automatically constitute:

-
an endorsement;
-
a partnership;
-
a guarantee of quality;
-
or an assumption of responsibility for the external provider.
Â
Visitors should independently review the terms and suitability of third-party services before using them.

21. Data Protection and Cookies

Personal data is processed in accordance with the Aurelis Clavis Privacy Policy.

Information concerning cookies and comparable technologies is provided through the website’s cookie settings and Privacy Policy.

Applicants are responsible for reviewing these documents before submitting personal data or files.

22. Liability

Nothing in these Terms excludes or restricts liability where exclusion or restriction is prohibited by applicable law.
In all other respects, liability is determined by applicable statutory law and any separate written agreement governing an accepted project.
Website content is provided for general informational and application purposes. It is not a substitute for an individually agreed service or independent regulated professional advice.

Visitors remain responsible for decisions made on the basis of their own circumstances, information and external professional input.
Â
23. Changes to the Website and These Terms

Aurelis Clavis may update the website and these Terms where reasonably necessary because of:

-
changes to website functions;
-
changes to the application process;
-
new security requirements;
-
changes to service providers;
-
clarification of the Aurelis Clavis business model;
-
or changes in applicable law.
Â
The current version applies to website use and applications made after its publication.
Changes to these website Terms do not automatically amend an existing paid project agreement.
Any amendment to an existing project relationship is governed by the amendment provisions of the relevant engagement agreement.

24. Applicable Law

These Terms and the use of this website are governed by the laws of the Federal Republic of Germany to the extent that a valid choice of law may be made.

Mandatory legal provisions that cannot lawfully be excluded remain unaffected.
Any accepted paid project is governed by the law and dispute provisions stated in its separate engagement agreement.

25. Jurisdiction

Disputes arising from a paid Aurelis Clavis project are governed by the jurisdiction provisions of the relevant engagement agreement.
For matters arising solely from website use or the application process, the statutory rules concerning jurisdiction apply unless a separate legally valid agreement provides otherwise.
Â
26. Severability
Â
If an individual provision of these Terms is or becomes wholly or partly invalid or unenforceable, the remaining provisions remain unaffected to the extent permitted by law.
The applicable statutory provision takes the place of an invalid or unenforceable provision.
This clause does not permit an invalid provision to be rewritten in a manner that unlawfully disadvantages the user.
27. Language
These Terms are issued in English because the Aurelis Clavis website and international business communication are conducted primarily in English.
Any translation is provided for convenience unless it is expressly designated as the authoritative version.
For an accepted project, the authoritative contractual language is stated in the separate engagement agreement.
